The rules of the floor. What we provide, what we don't, and what you agree to when you use the platform.
These Terms of Service ("Terms") are a binding agreement between you and Coast2Coast Ventures LLC, a Mississippi limited liability company ("Coast2Coast," "we," "us," or "our"). They govern your use of our website, our members-only deal platform, and any related services (together, the "Services").
By using the Services, creating an account, submitting an inquiry, or signing one of our agreements, you accept these Terms. If you do not accept them, do not use the Services.
If you use the Services on behalf of a company, partnership, trust, or other entity, you represent that you have authority to bind that entity, and "you" means both you and that entity.
Coast2Coast operates a private, members-only marketplace where vetted buyers see off-market commercial real estate opportunities that are not publicly listed. Members tell us their acquisition criteria — their "buy box" — and we send them matching opportunities as those opportunities come in. We also facilitate introductions between buyers, brokers, sellers, and capital providers.
We are a marketplace and an introduction service.
You must be at least 18 years old and legally able to enter contracts. Access to confidential deal information requires that you complete our vetting process and sign the applicable confidentiality and non-circumvention agreement. We may accept or decline any applicant at our discretion.
You are responsible for the accuracy of the information you give us, including your identity, entity, acquisition criteria, and any representation about your capacity to close. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at info@coast2coast.properties if you believe your account has been compromised.
Accounts are personal to you and your entity. Do not share credentials or allow anyone else to access deal information through your account.
Off-market means confidential. The value of this marketplace to sellers depends on discretion, and every member is held to the same standard.
When you sign our confidentiality agreement, non-disclosure agreement, or non-circumvention agreement (each, an "Agreement"), that Agreement governs your handling of deal information and is incorporated into these Terms. Where an Agreement you have signed conflicts with these Terms on the subject of confidentiality or circumvention, the Agreement controls.
Unless the applicable Agreement says otherwise, you agree that you will not:
Breach of confidentiality or circumvention is grounds for immediate termination and for the remedies set out in the applicable Agreement, which may include injunctive relief and damages.
Coast2Coast is not a licensed real estate broker or agent and does not represent you in any transaction. We do not provide legal, tax, accounting, appraisal, engineering, environmental, or investment advice. Nothing on the Services is an offer to sell or a solicitation of an offer to buy any security or any property, and nothing here is a recommendation that any particular transaction is suitable for you.
Retain your own attorney, accountant, and licensed professionals. Any decision to pursue, bid on, finance, or close a transaction is yours alone.
Deal information on the platform comes from sellers, brokers, owners, and third-party sources. We take reasonable steps to work with credible counterparties, but we do not independently verify, audit, or guarantee the accuracy of the information they supply — including asking prices, net operating income, capitalization rates, rent rolls, occupancy, square footage, zoning, title, condition, projections, or photographs.
Some figures on the platform are computed or estimated by software from data supplied by others. Estimates are estimates.
You are solely responsible for your own due diligence. Verify everything that matters to you, independently, before you commit capital. Availability of any listing can change without notice, and a listing appearing on the platform is not a representation that it remains available or that any term is still accurate.
If you submit a property, you represent that you have the right to market it and to share the information you provide, that the information is accurate and not misleading in any material respect, and that your submission does not breach an agreement with anyone else.
You grant us a non-exclusive, royalty-free license to store, reproduce, format, and display the submitted information and images to vetted members for the purpose of marketing the property. You keep ownership of what you submit. You can withdraw a submission by telling us, and we will remove it from active circulation, though we may retain records as described in our Privacy Policy.
We may decline, edit for format, or remove any submission at our discretion.
The platform may present financing options from third-party lenders and capital partners. Those parties are independent. We do not originate loans, we are not a mortgage broker, and we do not guarantee that any financing will be offered, approved, or funded, or that any quoted term will be honored. Your arrangement with a lender is between you and that lender. Read their documents and terms carefully.
You agree not to:
The Services, including the platform software, site design, text, graphics, logos, and the Coast 2 Coast Properties name and marks, are owned by Coast2Coast or our licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. That license does not include any right to copy, modify, distribute, sell, or create derivative works from the Services or their content.
If you send us feedback or suggestions, we may use them without obligation or compensation to you.
The Services may link to or integrate with third-party websites and services. We do not control them and are not responsible for their content, practices, availability, or terms. Your dealings with any third party are between you and that third party.
The services and all content are provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, Coast2Coast disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any deal information is accurate, complete, current, or available.
To the fullest extent permitted by law, Coast2Coast and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost deals, lost data, lost business opportunity, or diminution in value, arising out of or relating to the services, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the services will not exceed the greater of (a) the total amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. In that case our liability is limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless Coast2Coast and its members, managers, officers, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or relating to: your use of the Services; your breach of these Terms or of any Agreement you signed; information you submitted; your dealings with any counterparty introduced through the Services; or your violation of any law or the rights of any third party.
We may suspend or terminate your access at any time, with or without notice, if we believe you have breached these Terms or an Agreement, if we are required to do so by law, or if we discontinue the Services. You may stop using the Services at any time and may ask us to close your account by writing to info@coast2coast.properties.
Termination does not end your confidentiality or non-circumvention obligations, which survive according to their terms. Sections 4, 5, 6, 10, and 12 through 17 survive termination.
These Terms are governed by the laws of the State of Mississippi, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Harrison County, Mississippi, and you consent to the personal jurisdiction of those courts.
Where an Agreement you signed contains its own dispute resolution provision, that provision governs disputes within its scope.
Any claim relating to the Services must be brought within one year after the claim arose, or it is permanently barred, to the extent permitted by law.
We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. If a change is material, we will give notice by email or through the Services before it takes effect. Continuing to use the Services after a change takes effect means you accept the revised Terms.
